Terms of Service

These terms govern your use of the Be A Top Host platform, an online marketplace that connects independent Owners, Co-hosts, and Service Providers, and facilitates stays for Guests.

1. Acceptance of these terms

Welcome to Be A Top Host(also referred to as “BATH,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) form a binding agreement between you and BATH and govern your access to and use of our websites, applications, and related services (together, the “Platform”).

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Platform.

2. Who we are: a marketplace, not an employer

BATH is a technology platform and online marketplace. We provide tools that let independent people and businesses find one another, communicate, arrange work, and coordinate short-stay hosting. We facilitate stays for Guests, and we help Owners, Co-hosts, and Service Providers connect and transact.

BATH is not an employer, staffing agency, recruiter, or labor contractor. We do not employ Service Providers or Co-hosts, and we are not a party to any agreement that users make with one another. Service Providers and Co-hosts are independent contractors operating their own businesses. Nothing in these Terms or your use of the Platform creates an employment, agency, partnership, joint-venture, or franchise relationship between you and BATH, or between any two users.

Users decide for themselves whether, when, and with whom to transact. We do not assign work, set schedules, direct how services are performed, or guarantee the volume of work, the level of income, or the quality or outcome of any service arranged through the Platform.

4. Eligibility and accounts

You must be at least 18 years old and able to form a legally binding contract to use the Platform. By registering, you represent that the information you provide is accurate and that you will keep it current.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized use. You may not share, sell, or transfer your account without our written consent.

5. The relationship between users and BATH

The Platform is a venue. Owners, Co-hosts, Service Providers, and Guests contract directly with one another. Each user is solely responsible for the agreements they make, the services they perform or receive, their own conduct, and their compliance with the laws that apply to them, including any licensing, permits, insurance, and local hosting rules.

Because BATH is not a party to those agreements, we do not guarantee any work volume, income, booking, or result. We do not supervise or control independent users, and we are not responsible for their acts or omissions. Any assistance we provide, such as matching, scheduling tools, or support, does not make us a party to a user agreement or an employer of any user.

You agree to use the Platform lawfully and respectfully. You may not:

7. Ratings, reviews, and reputation

The Platform may allow users to rate and review one another after a Task or stay. Ratings and reviews are two-sided and are intended to help the community make informed choices. You agree that any review you submit will be honest, based on a genuine experience, and free of irrelevant or abusive content. You may not offer incentives for favorable reviews, post fake reviews, or manipulate reputation. Reviews reflect the views of the users who write them, not BATH.

8. Payments, fees, and taxes

BATH may charge a service fee for use of the Platform. Applicable fees will be disclosed before you incur them. Where payment processing is offered, it may be provided through third-party payment providers under their own terms; BATH is not a bank and, except where expressly stated, is not the payment processor or merchant of record for transactions between users.

Each user is solely responsible for determining, reporting, and paying their own taxes, including income, sales, VAT, GST, and any other taxes arising from their activity. Because Service Providers and Co-hosts are independent contractors and not employees, BATH does not withhold taxes, pay wages, or provide employment benefits.

9. Content and the license you grant

You retain ownership of the Content you submit. By posting Content, you grant BATH a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and adapt that Content for the purpose of operating, promoting, and improving the Platform. You represent that you have the rights necessary to grant this license and that your Content does not violate any law or third-party right. We may remove Content that violates these Terms.

10. Intellectual property

The Platform, including its software, design, logos, and text, is owned by BATH or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Platform except as permitted by law or with our written consent.

11. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or use the Platform in a way that could harm other users or BATH. Provisions that by their nature should survive termination, such as license grants, disclaimers, limitations of liability, and indemnification, will continue to apply.

12. Disclaimers of warranties

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, BATH disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free, and we do not guarantee the identity, conduct, reliability, or performance of any user, or the quality, safety, or outcome of any Task or stay.

13. Limitation of liability

To the fullest extent permitted by law, BATH and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform or your dealings with other users. Our total liability for any claim relating to the Platform will not exceed the greater of the fees you paid to BATH in the twelve months before the claim or a nominal amount permitted by applicable law. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless BATH and its affiliates from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Platform, your Content, your agreements or dealings with other users, or your breach of these Terms or of any applicable law.

15. Dispute resolution and governing law

BATH operates primarily in the Philippines, with additional operations in Australia. Except where local law requires otherwise, these Terms are governed by the laws of the Philippines, and you agree to resolve disputes with BATH in the competent courts of the Philippines. Where you use the Platform in Australia, local consumer protections that cannot be excluded by contract will continue to apply to you.

Disputes between users about a Task, stay, payment, or service are between those users to resolve. This section is general information about how these Terms operate and is not legal advice.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect means you accept the revised Terms.
